PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT (THIS "AGREEMENT") CAREFULLY. This Affiliate Program Agreement (the "Agreement") is a binding agreement between Juna World, Inc. ("Juna," "We," or "Us") and you or the entity you represent ("You" or "Affiliate"). You acknowledge that this Agreement governs your participation in the Juna Affiliate Program (the "Program") as further described herein. This Agreement takes effect when you are accepted into the Program via email confirmation from Juna. Juna and Affiliate are sometimes referred to individually as a "Party" and collectively as the "Parties." 1. Acceptance of Terms 1.1 By accepting this Agreement, or by participating in the Program, You represent and acknowledge that You have read, understood, and agree to be bound by this Agreement, and that the information You provide in registering for the Program is accurate, complete, and is Yours or within Your right to use. If You are entering into this Program on behalf of a company or other legal entity, You represent that You have the authority to bind such entity. If You do not have such authority, or do not agree with this Agreement, You must not accept this Agreement and may not participate in the Program. 1.2 You must read, agree with, and accept all terms and conditions contained in this Agreement, including our Privacy Policy and Terms of Service, before participating in the Program. Our Privacy Policy and Terms of Service are incorporated herein by reference. 2. Definitions The following terms have the meanings assigned to them below: "Affiliate Link" means the unique tracking URL assigned to You through the Refersion platform, which directs Prospective Customers to Juna's website and automatically attributes any resulting Qualifying Purchases to Your Affiliate account. "Affiliate Portal" means the web-based dashboard provided through Refersion (affiliates.juna-world.com, or as otherwise designated by Juna) where Affiliates can view referred traffic, track commissions, download marketing assets, and manage account information. "Commission" means the fee earned by Affiliate on Qualifying Purchases as described in the Program Guide and Section 7 of this Agreement. "Commission Period" means the cookie attribution window during which a Qualifying Purchase is eligible for Commission, currently [30/60/90] days from the date a Prospective Customer first clicks Your Affiliate Link. Juna reserves the right to modify the Commission Period upon notice. "Confidential Information" means all non-public information of a confidential nature disclosed by one Party to the other in connection with this Agreement, including business practices, formulations, customer data, pricing, trade secrets, and marketing strategies. "Customer" means any individual or entity that completes a Qualifying Purchase on Juna's website through Your Affiliate Link. "Customer Data" means any information collected, received, processed, or maintained by You or on Your behalf from or relating to any Customer or Prospective Customer in connection with the Program. Page 2 of 7 "Juna Marks" means any of Juna's trademarks, service marks, logos, trade dress, product names, and brand identifiers. "Juna Marketing Materials" means any advertising, promotional, or marketing materials for Juna Products that We make available to You through the Affiliate Portal or otherwise. "Juna Products" means the health and wellness supplement products offered for sale on www.junaworld.com and any associated product lines included in the Program. "Net Revenue" means the gross purchase price of a Qualifying Purchase, less any discounts applied at checkout, returns, chargebacks, taxes, shipping fees, and transaction fees. "Program Guide" means the commission rates, payment schedule, cookie window, and other program-specific details as set forth in the Affiliate Portal and updated from time to time by Juna. "Prospective Customer" means any individual referred to Juna's website through Your Affiliate Link who has not yet completed a Qualifying Purchase. "Qualifying Purchase" means a completed, paid, non-refunded transaction for Juna Products made by a Customer through Your Affiliate Link within the Commission Period, excluding (a) purchases made by You or Your immediate family members, (b) purchases using fraudulently obtained discount codes, and (c) any transaction Juna determines in its sole discretion to be fraudulent or in violation of this Agreement. 3. Program Acceptance 3.1 You must complete and submit an application through the Affiliate Portal to become an Affiliate. Juna will review your application and notify you whether you have been accepted via email. Juna reserves the right to accept or reject any application at its sole discretion and without obligation to provide a reason. 3.2 Upon acceptance, You agree to create and maintain an account through the Affiliate Portal and provide all information requested. In registering, You agree to (a) provide true, accurate, current, and complete information; and (b) maintain and promptly update such information. You are responsible for all activities that occur under Your account. You may not share Your account credentials with anyone, and You agree to (i) notify Juna immediately of any unauthorized use of Your account or breach of security; and (ii) log out from Your account at the end of each session. 3.3 In order to receive Commission under this Agreement, Affiliate must have (i) agreed to the terms of this Agreement; (ii) completed all required account information in the Affiliate Portal; and (iii) submitted any requested tax documentation (a completed Form W-9 for U.S.-based Affiliates, or Form W-8BEN or W-8BEN-E for nonU.S.-based Affiliates). 4. Affiliate Obligations 4.1 General Conduct. At all times during the Term, You will, at Your own cost: (a) Represent Juna Products accurately and consistently with Juna Marketing Materials and any written guidelines provided by Juna; (b) Comply with all applicable laws, regulations, and platform terms of service in connection with Your participation in the Program; (c) Conduct Yourself in a manner that reflects favorably on Juna, Juna Products, and Juna's brand reputation; (d) Not engage in any unfair, unethical, misleading, or deceptive practices in connection with promoting Juna Products; and (e) Promptly notify Juna if You become aware of any misuse, fraud, or violation of this Agreement. 4.2 FTC Disclosure Requirements. Compliance with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) is mandatory and non-negotiable. Page 3 of 7 (a) Clearly and conspicuously disclose Your relationship with Juna in every piece of content (social media posts, videos, blogs, stories, emails, or any other medium) where You promote Juna Products or include Your Affiliate Link. Acceptable disclosures include: "ad," "sponsored," "JunaPartner," or a clear written statement such as "I earn a commission on purchases made through this link"; (b) Place disclosures in a location that is unavoidable — not buried in hashtags, below the fold, or in a description requiring the viewer to click "more"; (c) Not make any endorsement or testimonial about Juna Products that does not reflect Your honest opinion and actual experience; and (d) Not represent that results You have experienced are typical if they are not. Failure to maintain FTC-compliant disclosures is grounds for immediate termination of this Agreement. 4.3 Prohibited Health and Product Claims. Because Juna Products are dietary supplements, You are strictly prohibited from making any statements that: (a) Claim, suggest, or imply that any Juna Product is intended to diagnose, cure, treat, mitigate, or prevent any disease or medical condition (e.g., "cures anxiety," "treats hormonal imbalance," "prevents cancer"); (b) Go beyond what is expressly stated in Juna's approved product descriptions or Juna Marketing Materials; (c) Make specific dosage recommendations beyond what is stated on the product label; (d) Suggest that Juna Products are a substitute for medical care or professional medical advice; or (e) Include before-and-after claims, dramatic results claims, or guarantees of specific outcomes unless expressly approved by Juna in writing. Approved claim language is available in the Affiliate Portal. When in doubt, use only the language provided. 5. Prohibited Practices 5.1 You shall not, at any time, directly or indirectly: (a) Use Juna Marks or any confusingly similar marks in any paid search campaign, Google Ads, Meta Ads, or pay-per-click advertising without Juna's prior written consent; (b) Distribute unsolicited bulk emails (spam) mentioning or promoting Juna Products or Your Affiliate Link; (c) Use cookie stuffing, click fraud, fake traffic, automated bots, or any other deceptive method to generate artificial referrals or inflate Commission earnings; (d) Self-refer — purchase Juna Products using Your own Affiliate Link or generate referrals through accounts associated with You, Your household, or Your employees; (e) Create websites, social media accounts, or content designed to impersonate Juna or mislead consumers into believing they are dealing directly with Juna; (f) Sell, sublicense, or otherwise transfer Your Affiliate Link or account access to any third party; (g) Make representations, warranties, or guarantees about Juna Products that are inconsistent with Juna's official product descriptions or this Agreement; (h) Engage in any practice that violates applicable law, platform policies (including those of Instagram, TikTok, YouTube, Meta, and Google), or that creates legal or reputational risk for Juna; or (i) Reverse engineer, scrape, or otherwise attempt to derive non-public information about Juna's technology, formulations, customer data, or business operations. 6. Marketing and Brand Usage 6.1 Subject to the terms of this Agreement, Juna grants You a non-exclusive, non-transferable, revocable, royalty-free license to use Juna Marks solely for the purpose of promoting Juna Products under this Agreement in a manner consistent with Juna's brand guidelines. Page 4 of 7 6.2 You must comply with Juna's then-current brand guidelines, available in the Affiliate Portal. You shall not alter, distort, or use Juna Marks in any manner not expressly authorized, including using them in a way that implies an endorsement by Juna of any third-party product, service, or viewpoint. 6.3 Juna reserves the right to request removal or modification of any content You create in connection with the Program that Juna reasonably determines violates this Agreement, applicable law, or Juna's brand guidelines. You agree to comply with any such request promptly. 6.4 You bear all costs and expenses associated with Your own marketing efforts, except for Juna Marketing Materials provided by Juna. 7. Commission and Payment 7.1 Subject to the terms and conditions of this Agreement, Juna shall pay You Commission on Qualifying Purchases at the rate(s) set forth in the Program Guide, as displayed in Your Affiliate Portal account. Commission is calculated as a percentage of Net Revenue. 7.2 Earning and Payment. (a) Commission is earned at the time a Qualifying Purchase is completed and confirmed by Juna's payment processor. (b) Commission is paid on a [monthly] basis, subject to a minimum payout threshold of $[100.00]. Amounts below the threshold will roll over to the next payment period. (c) Juna pays Commission via [PayPal ], as configured in Your Affiliate Portal. Your Paypal account name must match your affiliate registrtion or it is at Juna's full discretion to void any payment and contract. Commission payments are subject to a [30-day] hold period to account for returns and chargebacks. 7.3 Adjustments. If a Customer returns a Juna Product or initiates a chargeback, the Commission associated with that purchase will be deducted from Your account. If Your account balance becomes negative due to returns, the deficit will be deducted from future Commission earnings. 7.4 Taxes. You are solely responsible for all taxes, duties, and other governmental charges applicable to Commission payments received under this Agreement. Juna will issue applicable IRS tax forms (e.g., Form 1099- NEC) where required by law. 7.5 Disqualification. You will not be eligible to receive Commission if: (a) the Qualifying Purchase was made by You or someone acting on Your behalf; (b) the purchase was made using a fraudulently obtained or unauthorized discount code; (c) Juna determines the referral was generated through fraud or in violation of this Agreement; (d) Your account is suspended or terminated at the time Commission would otherwise be paid; or (e) payment would be prohibited by applicable law. 7.6 Program Guide Updates. Juna reserves the right to modify Commission rates, payment terms, and the Commission Period at any time upon reasonable prior notice to You via email or Affiliate Portal notification. Your continued participation in the Program after such notice constitutes acceptance of the updated terms. 8. Tracking and Attribution 8.1 Commission is tracked through cookies placed when a Prospective Customer clicks Your Affiliate Link. Juna uses the Refersion platform to manage tracking and attribution. 8.2 Juna is not responsible for failed tracking due to a Prospective Customer's use of ad-blocking software, private browsing modes, cookie rejection settings, or other browser configurations that prevent accurate tracking. 8.3 In the event of a tracking dispute, Juna's records as reflected in the Affiliate Portal shall be conclusive, absent clear evidence of a technical error on Juna's part. 8.4 Last-click attribution applies. If a Customer clicks multiple Affiliate Links from different Affiliates within the Commission Period, the Commission is awarded to the most recent Affiliate Link click. This Agreement is effective upon Your acceptance and continues until terminated by either Party as provided below. 9.2 Termination Without Cause. Either Party may terminate this Agreement at any time without cause upon thirty (30) days written notice (including via email). 9.3 Immediate Termination. Juna may immediately terminate this Agreement and Your participation in the Program if: (a) You breach any provision of this Agreement; (b) You make unauthorized health claims or fail to include required FTC disclosures; (c) Juna determines You have engaged in fraudulent activity, self-referral, or manipulation of the tracking system; (d) You engage in conduct that poses a reputational, legal, or regulatory risk to Juna (as determined by Juna in its sole discretion); or (e) You become insolvent, file for bankruptcy, or make an assignment for the benefit of creditors, or your registration name does not match your payment information. 9.4 Effect of Termination. (a) Upon termination by Juna without cause, You will be paid Commission for any Qualifying Purchases confirmed prior to the effective date of termination, subject to the standard hold period. (b) Upon termination by You, or by Juna for cause, You forfeit any unpaid Commission earned after the effective date of termination. (c) Following termination for any reason, Juna may retain and use any Customer data or referral information provided by You during the Term for Juna's business purposes. 9.5 Post-Termination Obligations. Upon termination, You must immediately: (a) cease referring to Yourself as a Juna affiliate, partner, or ambassador in any promotional or marketing materials; (b) remove Your Affiliate Link from all websites, social profiles, bios, email signatures, and any other distribution channels; (c) cease using any Juna Marketing Materials, Juna Marks, or other Juna intellectual property; (d) cease using or disclosing any Juna Confidential Information; and (e) delete or return any non-public materials provided by Juna, upon request. 9.6 Survival. The following provisions survive termination: Sections 2, 4.2, 4.3, 5, 9.4, 9.5, 9.6, 10, 11, 12, 13, 14, 15, and 16. 10. Intellectual Property 10.1 Except for the limited license expressly granted in this Agreement, nothing herein grants You any right, title, or interest in or to any Juna Marks, Juna Products, Juna Marketing Materials, or any other Juna intellectual property. All rights not expressly granted are reserved by Juna. 10.2 You shall not adopt, use, or attempt to register any trademark, service mark, domain name, social media handle, or trade name that is identical to or confusingly similar to any Juna Mark. 10.3 Juna shall have a royalty-free, worldwide, non-exclusive, perpetual right to use and display Your name, handle, and likeness in connection with identifying You as a Juna Affiliate, where You have expressly consented. 10.4 Juna shall have a royalty-free, worldwide, irrevocable, perpetual license to use any testimonials, reviews, feedback, or user-generated content You provide about Juna Products for marketing purposes, unless prohibited by applicable law. 11. Confidentiality 11.1 Each Party may disclose Confidential Information to the other in connection with this Agreement. The Receiving Party shall: (a) hold the Disclosing Party's Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it solely for the purposes of performing under this Agreement. 11.2 Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is received JUNA WORLD | AFFILIATE PROGRAM AGREEMENT www.juna-world.com Confidential | Juna World, Inc. Page 6 of 7 from a third party without restriction; or (d) is independently developed without reference to the Confidential Information. 11.3 The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own most sensitive confidential information, and in no event less than reasonable care. 12. Disclaimer of Warranties THE PROGRAM, AFFILIATE PORTAL, JUNA MARKETING MATERIALS, AND ALL OTHER MATERIALS PROVIDED BY JUNA ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. JUNA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JUNA DOES NOT WARRANT THAT THE AFFILIATE PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT COMMISSION TRACKING WILL ACCURATELY CAPTURE ALL REFERRALS. YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK. 13. Limitation of Liability 13.1 IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT FOR ANY: (I) LOSS OF REVENUE, PROFIT, OR BUSINESS OPPORTUNITY; OR (II) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; REGARDLESS OF WHETHER SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 13.2 JUNA'S AGGREGATE LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSION EARNED BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 13.3 Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In those jurisdictions, Juna's liability will be limited to the greatest extent permitted by applicable law. 14. Indemnification You agree to defend, indemnify, and hold harmless Juna and its officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) Your breach of this Agreement; (ii) any content You create or publish in connection with the Program, including any unauthorized health claims, false testimonials, or failure to comply with FTC disclosure requirements; (iii) Your fraud, misrepresentation, or illegal conduct; (iv) Your unauthorized use of Customer Data; or (v) any third-party claim arising from Your participation in the Program. Juna will provide You with prompt written notice of any such claim and reasonable cooperation in the defense thereof. Juna reserves the right to assume exclusive control of the defense of any claim subject to indemnification, in which case You agree to cooperate with Juna's reasonable requests. 15. Compliance with Law 15.1 You agree to comply with all applicable laws, regulations, and platform policies in connection with Your participation in the Program, including but not limited to: (a) the FTC Act and FTC Endorsement Guides (16 C.F.R. Part 255); (b) the Federal Food, Drug, and Cosmetic Act (FDCA) and FDA regulations governing dietary supplement labeling and claims; (c) the CAN-SPAM Act and applicable anti-spam laws; (d) the California Consumer Privacy Act (CCPA) and other applicable privacy laws; and (e) platform-specific advertising policies of Instagram, TikTok, YouTube, Pinterest, Meta, Google, and any other platform You use to promote Juna Products. 15.2 You shall promptly comply with all opt-out and unsubscribe requests from any Customer or Prospective Customer. Page 7 of 7 15.3 You shall not export, re-export, or make Juna Products available in any jurisdiction where such activity is prohibited by applicable law. 15.4 Juna's products have not been evaluated by the FDA. Juna Products are not intended to diagnose, treat, cure, or prevent any disease. You agree to include this disclaimer (or substantially similar language) in any content where You reference Juna Products' health benefits, where required by applicable law or platform policy. 16. Miscellaneous 16.1 Amendment. Juna may amend this Agreement at any time by posting an updated version to the Affiliate Portal and providing notice via email. The updated Agreement becomes effective on the next business day after posting. Your continued participation in the Program after notice constitutes acceptance of the changes. 16.2 Assignment. You may not assign or transfer this Agreement, in whole or in part, without Juna's prior written consent. Juna may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this section is void. 16.3 Entire Agreement. This Agreement, together with the Program Guide, Privacy Policy, and Terms of Service, constitutes the entire agreement between the Parties with respect to the Program and supersedes all prior negotiations, correspondence, and agreements. 16.4 Notices. All notices under this Agreement shall be delivered via email: (i) to Affiliate, at the email address on file in the Affiliate Portal; and (ii) to Juna, at [email protected]. Notice is effective upon successful transmission. 16.5 Severability. If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. 16.6 Independent Contractor. The relationship between You and Juna is that of independent contractors. Nothing in this Agreement creates any employment, agency, joint venture, or partnership relationship. You have no authority to bind Juna to any contract or obligation, and You shall not represent otherwise. 16.7 No Waiver. Juna's failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. 16.8 Governing Law; Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, with proceedings conducted in Orange County, California. Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. 16.9 Class Action Waiver. YOU AND JUNA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
